Eligibility and lawful use

Access to LegalMBase services is available to individuals and entities that have the legal capacity to enter into contracts and comply with these terms. Use of services must be lawful and consistent with our published policies.

Services are intended for business users and adults aged 18 or older. Minors are not eligible to enter into service agreements without lawful authorization from a guardian or corporate representative.

You must not use the service for fraudulent, illegal or malicious activities. Any misuse may result in suspension or termination of access and potential legal action.

Services are offered primarily to enterprises operating in Malaysia and nearby jurisdictions. Use of the site from other countries is subject to local laws and export controls; you are responsible for compliance with such restrictions.

Account responsibilities

When you create an account with LegalMBase you agree to provide accurate information and to keep account credentials secure. Account holders are responsible for all activity under their accounts.

You must ensure that information provided to LegalMBase is complete and accurate. Notify us promptly of any changes to business contact details or authorized representatives.

Protect your login credentials and adopt reasonable security measures. Do not share passwords; notify us immediately if you suspect unauthorized access.

Accounts and service rights are personal to the account holder and may not be transferred without our prior written consent.

If you believe your account has been compromised, notify LegalMBase immediately at the contact details provided so we can take steps to secure the account and contribute.

We may suspend or restrict access to accounts for reasons including suspected fraud, breach of terms, or legal obligations. We will notify affected users where lawful and practicable.

Scope of services

LegalMBase provides legal advisory services, document preparation and discrete project work as set out in engagement letters or service descriptions. All services are subject to applicable professional standards and these terms.

We may update service features, availability or delivery mechanisms. Significant changes affecting active engagements will be communicated to clients and handled as specified in the engagement agreement.

We aim to provide continuous access to our online resources, but availability may be affected by maintenance, outages or events beyond our control. We do not accept liability for temporary interruptions.

User conduct and rules

Users must act responsibly when using LegalMBase. Prohibited actions are listed below and may result in corrective measures.

• Do not attempt to breach or circumvent security controls.
• Do not submit unlawful, defamatory or infringing content.
• Do not use automated tools to scrape or extract data without permission.
• Do not impersonate another person or entity when interacting with the service.
• Comply with applicable export controls and sanctions when using the service.
• Do not interfere with service operation or engage in denial-of-service activities.
• Report identified vulnerabilities or misuse to LegalMBase promptly.

User content and submissions

Content you submit through our platform, such as documents, instructions or communications, remains your responsibility. You warrant you have rights to submit such content.

You retain ownership of materials you provide to LegalMBase for the purpose of receiving services, subject to any licenses you grant to enable service delivery.

By submitting content you grant LegalMBase a non-exclusive, limited license to use, copy and process that content solely to deliver requested services and to comply with legal obligations.

You are responsible for the lawfulness and accuracy of content provided. We do not accept responsibility for user-supplied content beyond the scope of our agreed services.

We may remove user content that violates these terms or applicable law. Requests for removal of content should be made in writing and will be assessed in accordance with our procedures.

Intellectual property

LegalMBase and its logos, software and content are protected by intellectual property rights. Except as expressly provided, no rights or licenses to our intellectual property are granted.

• Do not reproduce or distribute content from LegalMBase for commercial purposes without permission.
• Do not modify, create derivative works of, or decompile our software or proprietary materials.
• Respect third-party intellectual property rights when uploading or sharing content through our services.

Paid services and billing

Paid services are provided under separate engagement terms detailing scope, fees and payment schedules. Billing practices are described in the applicable service agreement.

Fees for services are set out in engagement letters or price schedules. Quotes are valid for the period specified and may be subject to change thereafter.

Payments are due in accordance with the terms in the engagement agreement. Accepted payment methods will be stated in invoices and may include bank transfer and other electronic methods.

Where subscription services are offered, subscriptions renew automatically unless cancelled in accordance with the subscription terms. Cancellation provisions are set out in the relevant agreement.

Refunds, if any, are handled on a case-by-case basis and in accordance with the engagement agreement and applicable consumer protection laws. We will review refund requests and communicate our decision in writing.

Clients may cancel services subject to the notice periods and cancellation terms in the engagement agreement. Outstanding fees for work performed up to cancellation may remain payable.

Clients are responsible for any taxes, duties or levies associated with services provided, unless otherwise stated. We will indicate tax treatment on invoices where applicable.

We may adjust pricing for services with notice to clients. Changes to recurring fees will be communicated in advance and applied as set out in the agreement.

Failure to pay when due may result in suspension of services and recovery actions. We may charge interest or collection costs as permitted by law.

Limitation of liability

To the extent permitted by law, LegalMBase's liability for direct losses arising from our services is limited to fees paid for the service giving rise to the claim. We are not liable for indirect, special or consequential losses, except as required by applicable law.

Third-party services and links

We may refer or connect you to third-party providers. Use of such services is subject to the third party's terms. We do not control third-party actions and are not responsible for their practices.

Termination of services

Either party may terminate an engagement in accordance with the notice provisions in the applicable engagement agreement. We may also suspend or terminate access for violations of these terms.

On termination, outstanding fees remain payable and we may retain copies of certain records as required by professional or legal obligations. We will cooperate with reasonable transition arrangements.

Privacy and data protection

Our handling of personal data is governed by the privacy policy available on LegalMBase.club. That policy explains how we collect, use and protect personal data in the course of providing services.

Communications and notices

Notices under these terms may be sent by email or postal mail to the addresses provided in your account or engagement agreement. Electronic communications are effective upon transmission unless otherwise specified.

Changes to terms

We may update these terms to reflect changes in the law or our services. Material changes will be notified to active clients and posted with an updated effective date.

Governing law

These terms are governed by the laws of Malaysia. Any disputes arising under or in connection with these terms will be subject to the exclusive jurisdiction of the courts of Malaysia, unless parties agree otherwise in writing.

Dispute resolution

Where practical, parties should attempt to resolve disputes through negotiation or mediation before initiating court or arbitration proceedings. Details of dispute resolution procedures may be set out in specific engagement agreements.
